Terms of sale

1. Accounts

You must give accurate contact, company and shipping information and keep your password private. You are responsible for activity on your account. We may close accounts used for fraud or abuse.

2. Quotes, prices and orders

Prices on the site are manufacturer list (MSRP), published web prices, or budget estimates, as marked. They are for reference and can change without notice. A written quote is valid for 30 days unless it says otherwise. An order is accepted only when we confirm it in writing; we may decline or cancel any order, including for pricing errors, stock limits or suspected fraud.

3. Shipping and delivery

In-stock orders ship within 2–3 business days of order confirmation (and payment, where required). Special-order items ship on the lead time stated on your quote. Delivery dates from carriers are estimates. Title and risk of loss pass to you when the order is handed to the carrier. See Shipping & tax.

4. Sales tax and exemptions

We collect sales tax where Echo Werks is registered to collect, as listed on the Shipping & tax page. Where we don't collect, you may owe use tax to your state. To buy tax-free, upload a valid exemption or resale certificate for the ship-to state in your account. Tax is waived only after we approve the certificate, and only for orders shipped to that state while it is valid. You are responsible for using exemptions lawfully and for any tax, interest and penalties if a certificate is invalid.

5. Payment

Payment terms are stated on your quote or invoice. Net terms require approved credit. Large orders may require ACH or wire payment. Past-due balances may be charged interest at the lower of 1.5% per month or the highest rate allowed by law.

6. Returns

Returns follow our Return policy.

7. Warranty

Products carry only the manufacturer's warranty, which we pass through to you. EXCEPT FOR THAT WARRANTY, PRODUCTS ARE SOLD "AS IS" AND ECHO WERKS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE EXTENT THE LAW ALLOWS.

8. Design guidance

Product recommendations, spec comparisons and quote reviews are provided to help you choose equipment. Final system design, code compliance and installation remain the responsibility of the purchaser and its licensed contractors and authority having jurisdiction, unless Echo Werks is engaged separately under a signed services agreement.

9. Limitation of liability

TO THE EXTENT THE LAW ALLOWS, ECHO WERKS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, AND ITS TOTAL LIABILITY FOR ANY ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER.

10. Export and government sales

You agree to follow U.S. export laws. Government and TAA-compliant versions are identified on product pages; confirm compliance requirements for your contract before ordering.

11. Your information

We use your account details, orders and uploaded certificates only to quote, fulfill, support and account for your purchases and to meet tax record-keeping rules. Each quote request records the date and time, the IP address it came from, the approximate location of that IP address, and your browser and device type, to verify orders and prevent fraud. If you choose to share your device location when you submit a quote, we also record those coordinates. This information is kept with your quote records and is not shown to other customers. Certificates are stored privately and are visible only to you and Echo Werks staff. We do not sell your information. See also our Privacy notice.

12. Governing law

These terms are governed by Missouri law. Any dispute will be brought in the state or federal courts located in Missouri.
